These Platform Terms (the “Platform Terms”) are issued pursuant to, and form an integral part of, the Service Agreement entered into between Score Financial Pte. Ltd. (“Score”) and the Client. These Financing Terms are incorporated by reference into the Service Agreement and are subject in all respects to the provisions thereof. These Platform Terms govern access to and use of the Platform operated by Score, and set out the responsibilities, restrictions, and rights associated with such use.

1. Definitions

For the purposes of this Platform Terms, the following terms shall have the meanings set forth below: “Services” means the suite of business and technology solutions provided by Score, including all related functionalities, platforms, systems, applications, and tools. “Score” means Score Financial Pte. Ltd., a company incorporated in Singapore, including its subsidiaries, affiliates, and related entities, where applicable. “Platform” means the digital infrastructure, interfaces, systems, and related technologies provided by Score through which Clients access the Services, including but not limited to web applications, API, and administrative portals. “User” means any individual who accesses or uses the Services, whether on their own behalf or on behalf of a Client, including Officers and Members. “Officer” means any individual who is duly authorised to act on behalf of the Client and who has the legal authority to bind the Client to contractual obligations, including acceptance of this Service Agreement and related documents. Officers may include directors, partners, authorised signatories, or any person designated as such through the onboarding process or formal documentation provided to Score. “Member” means any individual who has been granted access to the Services by an Officer for the purpose of transacting or performing specific functions on behalf of the Client. “Client” means any business entity or organization that has entered into a Service Agreement with Score and uses the Services for commercial or internal business purposes. “Service Agreement” means the legally binding agreement entered into between Score and the Client, governing the Client’s and its Users’ access to and use of the Services. “Applicable Law” means all laws, regulations, rules, directives, and governmental requirements of any jurisdiction that are applicable to the performance of obligations or exercise of rights under the Service Agreement, including those of Singapore.

2. Platform Services

Platform Services refer to the core operational infrastructure provided through Score’s digital Platform, including tools for registration, identity verification, document submission, user management, invoicing, consent workflows, and related functionalities. These services are made available to support the Client’s internal business operations and are subject to the terms and conditions set out herein.

3. Platform Access

Score provides the Client and its authorised Users with access to the Platform for the purpose of utilising the Platform Services made available by Score. Access is provided through Score’s web-based or API-enabled interfaces, and is subject to successful registration and ongoing compliance with these Platform Terms and the Service Agreement.

4. Platform Use

4.1 Permitted Use

The Platform may only be used by authorised Users for the Client’s internal business purposes, in accordance with the Service Agreement and these Platform Terms.

4.2 Prohibited Conduct

Users shall not: a. Use the Platform for any unlawful, fraudulent, or abusive purpose; b. Interfere with or disrupt the integrity, security, or performance of the Platform; c. Attempt to gain unauthorised access to any systems, data, or accounts; d. Reverse engineer, decompile, or disassemble any part of the Platform; e. Use automated tools to access or use the Platform in a manner that imposes an unreasonable load.

4.3 User Credentials and Activity

Users must keep access credentials secure and confidential. The Client is responsible for all activities conducted under its Users’ accounts.

5. Platform Availability and Suspension

5.1 Platform Availability

Score aims to provide continuous access to the Platform but does not guarantee uninterrupted or error-free operation. Access may be affected by factors outside Score’s control, including internet or third-party service disruptions.

5.2 Scheduled Maintenance

Score may perform maintenance from time to time, which may result in temporary unavailability. Where practicable, advance notice will be provided.

5.3 Platform Suspension Rights

Score may suspend or restrict access to the Platform, in whole or in part, with or without prior notice, under the following circumstances: a. To perform scheduled or emergency system maintenance or updates;
 b. In response to suspected or confirmed security breaches, technical failures, or cyberattacks;
 c. The Client or a User breaches the Service Agreement or these Platform Terms;
 d. If use of the Platform poses a risk to Score, its Clients, or its infrastructure; e. To comply with legal obligations, law enforcement requests, or regulatory directives. f. There is a suspected unauthorised or fraudulent use. Such suspension may be temporary or ongoing depending on the circumstances. Score shall not be liable for any losses or damages resulting from such suspension or restriction of access.

6. Client Onboarding

6.1 Client Registration

To access the Services, the Client must complete the registration process via the Platform, including submission of all information and documentation required by Score. Score may approve or reject any registration request at its sole discretion.

6.2 Authorised Officer

Registration and acceptance of the Service Agreement must be completed by an Officer of the Client. By doing so, the Officer represents and warrants that they are duly authorised to bind the Client to the Service Agreement and these Platform Terms.

6.3 Ongoing Obligations

The Client must ensure that all information provided during registration, and at all times thereafter, remains complete, accurate, and current. Score may request updated information at any time to verify continued eligibility.

6.4 Verification and Screening

Score may conduct identity verification, credit assessments, and other compliance checks on the Client and its Officers as part of the registration process. Access to the Services may be delayed, withheld, or conditioned on successful completion of such checks.

7. User Access and Authorization

7.1 User Roles

Users are individuals authorised by a Client to access the Platform and must be designated as either: a. An Officer, who is duly authorised to act on behalf of the Client and may bind the Client to legal obligations; b. A Member, who is permitted by an Officer to perform specific functions on behalf of the Client but does not have authority to bind the Client unless expressly granted.

7.2 Registration and Approval

User registration must be initiated or approved by an Officer through the Platform. Score may request information or documentation to verify the identity, role, or authority of any User and may approve or reject any registration request at its sole discretion.

7.3 Permissions and Controls

The Client is solely responsible for managing User roles and permissions through the Platform. Score relies on these settings and shall not be liable for any actions taken by Users within the scope of the access granted to them by the Client.

8. User Termination

8.1 Termination by Score

Score may, at its sole discretion and without liability, suspend or terminate a User’s access to the Platform at any time, with or without notice, if: a. The User or Client breaches these Platform Terms, the Service Agreement, or any Applicable Law; b. The User engages in fraudulent, abusive, or unauthorised activity; c. The User’s actions create, or may create, a risk of harm, loss, reputational damage, or legal exposure for Score or its affiliates; d. Such suspension or termination is required by Applicable Law or by a competent authority.

8.2 Termination by Client

The Client may terminate a User’s access to the Platform at any time through the management features provided within the Platform. Termination does not relieve the Client of any obligations incurred prior to termination.

8.3 Effect of Termination

Upon termination of a User’s access: a. All rights granted to that User under these Platform Terms will immediately cease; b. The User must immediately discontinue all use of the Platform; d. Termination shall not affect the validity or enforceability of any transaction or agreement entered into prior to the termination date.

9. Platform Modification

Score may modify, update, or enhance the functionality or features of the Platform at any time to reflect improvements, operational needs, or legal requirements. Such changes may be implemented with or without notice, except where prior notice is required by Applicable Law.

10. Platform Warranty

The Platform and all related services are provided on an “as is” and “as available” basis. To the fullest extent permitted under Applicable Law, Score makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement. Score does not guarantee that the Platform will meet the Client’s requirements, achieve any specific outcome, or operate without interruption, delay, or error. Use of the Platform is at the Client’s and Users’ own risk.

11. Platform Liability

To the fullest extent permitted by Applicable Law, Score shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business interruption, loss of data, or reputational harm, arising out of or in connection with the use of or inability to use the Platform.

12. Intellectual Property

12.1 Ownership

All content, features, and functionality made available through the Platform — including software, source code, designs, text, graphics, logos, icons, images, videos, databases, and documentation — are the exclusive property of Score or its licensors and are protected under Applicable Law, including intellectual property and proprietary rights laws.

12.2 Trademarks

All trademarks, service marks, trade names, product names, logos, and designs (“Marks”) displayed on the Platform are the property of Score or third parties. No right or license to use any Marks is granted under these Platform Terms. Any unauthorised use is strictly prohibited and may violate Applicable Law. All goodwill arising from the use of Score’s Marks shall accrue to Score.

12.3 Limited License

Subject to compliance with these Platform Terms, Score grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the Client’s internal business purposes. Users shall not: a. Copy, modify, distribute, sell, or lease any part of the Platform’s software or content; b. Reverse engineer, decompile, or attempt to extract the source code of the Platform; c. Use any of Score’s intellectual property for commercial or competitive purposes without Score’s prior written consent.

13. Unsolicited Content

Unless otherwise agreed in writing or required by Applicable Law, any content, feedback, suggestions, ideas, proposals, documents, or other materials submitted by the User to Score through the Platform or any communication channel—other than information submitted under a separate contractual obligation—will be considered non-confidential and non-proprietary. By submitting such content, the User grants Score a non-exclusive, worldwide, royalty-free, irrevocable, and perpetual license to use, reproduce, modify, display, and distribute the content in connection with Score’s products, services, and operations, without obligation or compensation to the User. This clause does not apply to data submitted pursuant to a legally binding agreement with Score (including invoice data, identity verification materials, or payment instructions), which remain subject to applicable confidentiality and data protection terms.

14. Third-Party Services

The Platform may incorporate, interoperate with, or provide access to third-party services, software, or content (“Third-Party Services”), including but not limited to identity verification providers, payment processors, data enrichment tools, and communication platforms. Use of any Third-Party Services is subject to the terms, conditions, and privacy policies of the respective third-party providers. Score does not control, endorse, or assume responsibility for the accuracy, availability, legality, or performance of any Third-Party Services, and shall not be liable for any loss or damage arising from their use or unavailability. All interactions with Third-Party Services are solely between the User and the applicable third party. Score reserves the right to modify, suspend, or discontinue access to any integrated Third-Party Service at any time, without notice or liability.

15. Platform Terms Modification

Score may update these Platform Terms from time to time to reflect changes in the Services, Applicable Law, or business practices. Where required by law, Score will provide reasonable advance notice of material changes. Continued use of the Platform after any such updates constitutes acceptance of the revised Platform Terms.
